1. Agreement to these terms
By accessing or using TraceLayer, you agree to these Terms of Service. If you use TraceLayer for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the service.
2. The service
TraceLayer provides observability tools for AI and agent-based software, including telemetry ingestion, tracing, diagnostics, dashboards, APIs, and developer tools. Features may change as the service develops. Documentation and demonstration data are provided to explain product behavior and are not service-level commitments.
3. Accounts and access
You must provide accurate account information, keep credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for ensuring your users comply with these terms.
4. Acceptable use
You may not use TraceLayer to:
- Violate law, regulation, intellectual-property rights, or privacy rights.
- Transmit malware, exploit vulnerabilities, or interfere with the service.
- Attempt unauthorized access, reverse engineer protected service components, or evade usage limits.
- Monitor individuals unlawfully or submit data you lack permission to process.
- Build or operate systems intended to cause harm, deception, or unlawful discrimination.
5. Customer data
You retain rights to data you submit. You grant TraceLayer a limited right to host, process, transmit, and display that data solely to provide, secure, and improve the service. You are responsible for obtaining necessary notices, permissions, and legal bases for customer data.
6. Software and intellectual property
TraceLayer and its licensors retain all rights in the service, software, branding, and documentation. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the service during your subscription or authorized evaluation.
7. Fees and taxes
Paid plans, if selected, are billed according to the order form or checkout terms presented at purchase. Fees are non-refundable except where required by law or expressly stated otherwise. You are responsible for applicable taxes, excluding taxes on TraceLayer income.
8. Third-party services
The service may interoperate with model providers, cloud platforms, and developer tools. Third-party products are governed by their own terms. TraceLayer is not responsible for third-party services or changes to their availability.
9. Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only to perform obligations or exercise rights under the agreement.
10. Suspension and termination
You may stop using the service at any time. We may suspend access to address security risks, unlawful use, nonpayment, or material breach. Either party may terminate according to an applicable order form. Sections that by nature should survive termination will survive.
11. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. TraceLayer does not guarantee that agent outputs, diagnoses, or recommendations are complete or error-free.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenues, data, or business opportunities. TraceLayer aggregate liability arising from the service will not exceed amounts paid for the service during the 12 months before the event giving rise to the claim.
13. Indemnification
You will defend and indemnify TraceLayer against third-party claims arising from your customer data, your applications, or your unlawful or unauthorized use of the service, except to the extent caused by TraceLayer.
14. Governing terms and changes
An executed order form or enterprise agreement controls if it conflicts with these online terms. We may update these terms by posting a revised version. Material changes will apply prospectively and may be communicated through the service.
